PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE SERVICES PROVIDED BY ALPHA VENUE AI, YOU AGREE TO BE BOUND BY THESE TERMS.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," "Venue Owner," or "you") and Alpha Venue AI ("Alpha AI," "Company," "we," "us," or "our"), governing your access to and use of our website located at https://alphavenue.ai/ (the "Site") and our AI-powered sales and customer support platform, including the AI agent known as "Ella" (collectively, the "Services").     

By applying for enrollment, creating an account, or accessing our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.       

Alpha Venue AI provides a comprehensive, AI-driven management solution specifically designed for wedding venues. Our primary offering includes "Ella," a customizable AI Agent capable of simulating human-like interaction to manage venue operations.      

Key features of the Service include, but are not limited to:

• Lead Management: 24/7 automated response to inquiries via web chat, SMS, email, voice, and social media.         
• Tour Scheduling: Automated calendar integration to book and manage venue tours.
• Contract & Payment Processing: Digital generation of contracts and collection of payments/deposits.         
• Wedding Planning Assistance: AI-driven guidance for couples and coordination of event  details.         
• Operational Tools: HR hiring assistance, floor plan generation, social media management, and website building.         

The Services are provided as a Software-as-a-Service (SaaS) platform and are subject to updates, enhancements,  and modifications at the discretion of Alpha Venue AI.       

3.1 Business-to-Business (B2B) Service

The Services are intended solely for commercial use by business entities, specifically wedding venue owners and operators. By using the Services, you represent and warrant that you have the authority to bind the business entity on whose behalf you are acting.     

3.2 Enrollment Application

Access to Alpha Venue AI is granted through an enrollment application process. Prospective clients must submit an application detailing their venue specifics (e.g., event volume, gross income). We reserve the right to accept or reject any application at our sole discretion based on our assessment of whether our Services are a suitable fit for your business.     

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized access to or use of your account. Alpha Venue AI cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.       

As a condition of use, you agree not to use the Services for any purpose that is prohibited by these Terms or applicable law. You are solely responsible for all activity that occurs under your account.   

You agree to:

• Provide accurate, current, and complete information during the enrollment and setup process.
• Maintain and promptly update your venue data (pricing, availability, policies) to ensure the AI Agent provides accurate information to your leads.         
•  Use the communication features (SMS, Voice, Email) in compliance with all applicable laws, including theTelephone Consumer Protection Act (TCPA) and CAN-SPAM Act.         
• Obtain necessary consents from your customers before contacting them via automated means provided by our platform. 

5.1 Fees

Access to the Services is subject to the payment of fees as set forth in your specific service agreement or proposal provided upon acceptance of your enrollment application.       

5.2 Billing

Payments are due in accordance with the billing cycle selected during registration (e.g., monthly or annually). You authorize Alpha Venue AI to charge your designated payment method for all applicable fees.       

5.3 Late Payments 

Failure to pay fees when due may result in the suspension or termination of your access to the Services.   

6.1 Nature of AI Services

You acknowledge that "Ella" and other automated features are based on artificial intelligence and machine         learning technologies. While we strive for high accuracy, AI systems may occasionally generate incorrect,         irrelevant, or inappropriate responses ("hallucinations").     

6.2 No Human Oversight by Default

The AI Agent operates autonomously based on the data you provide. It does not have human oversight for every interaction unless you specifically configure settings to require approval for certain actions (e.g., contract sending).     

6.3 Disclaimer of Accuracy

Alpha Venue AI does not guarantee the accuracy, completeness, or reliability of any content generated by the  AI Agent.  You are responsible for reviewing critical outputs, such as contracts, pricing quotes, and availability confirmations. We are not liable for errors made by the AI Agent in communicating with your clients.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of information (including your business data and your clients' personal data) as described in the Privacy Policy.       

You retain ownership of your customer data. You grant Alpha Venue AI a non-exclusive, worldwide, royalty-free license to use, copy, store, and display your data solely as necessary to provide and improve the Services. 

All rights, title, and interest in and to the Services, including the "Ella" character, software, code, algorithms, visual designs, and trademarks, are and will remain the exclusive property of Alpha Venue AI. Nothing in these Terms gives you a right to use the Alpha Venue AI name or any of the Alpha Venue AI trademarks, logos, domain names, and other distinctive brand features.     

The Services may integrate with third-party applications and services, including but not limited to Google         Calendar, Stripe, social media platforms, and CRM software ("Third-Party Services").       

Your use of Third-Party Services is governed by their respective terms and privacy policies. Alpha Venue AI is         not responsible for the availability, security, or functionality of any Third-Party Services and does not         warrant that the Services will be compatible with all third-party applications.       

We strive to keep the Services up and running 24/7; however, all online services suffer occasional disruptions         and outages. Alpha Venue AI is not liable for any disruption or loss you may suffer as a result. We reserve the         right to modify, suspend, or discontinue the Services (or any part thereof) at any time with or without notice. 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ALPHA VENUE AI, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.      

You agree to defend, indemnify, and hold harmless Alpha Venue AI and its licensee and licensors, and their         employees, contractors, agents, officers, and directors, from and against any and all claims, damages,         obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees),         resulting from or arising out of a) your use and access of the Service, by you or any person using your account         and password; b) a breach of these Terms, or c) Content posted on the Service.    

You may terminate your account at any time by following the instructions on the Site or contacting customer         support. Alpha Venue AI reserves the right to terminate or suspend your account immediately, without prior         notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. 

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership         provisions, warranty disclaimers, indemnity, and limitations of liability.  

These Terms shall be governed and construed in accordance with the laws of the State of Wisconsin, United         States, without regard to its conflict of law provisions.       

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by         arbitration in La Crosse County, Wisconsin, or in a court of competent jurisdiction located within La Crosse         County, Wisconsin. You agree to submit to the personal jurisdiction of the state and federal courts located in         Wisconsin for the purpose of litigating all such claims or disputes.
